Welcome to Noodal. These Terms of Service ("Terms") govern your use of Noodal, a creative operations application provided by Noodal, LLC, a Delaware limited liability company ("Noodal", "we", "us", "our"). By accessing or using Noodal, you agree to be bound by these Terms.

If you don't agree to these Terms, don't use Noodal.

1. What Noodal Is

Noodal is a creative operations application that helps creative professionals organize projects, brainstorm ideas, edit documents, and collaborate with team members. Noodal includes AI-powered features that assist with creative work tasks like writing, editing, and organizing content.

2. Your Account

To use most features of Noodal, you need an account. You agree to:

  • Provide accurate information when registering
  • Keep your password secure and not share your account
  • Be responsible for activity under your account
  • Notify us immediately if your account is compromised

You must be at least 16 years old to use Noodal. If you're under 18, you confirm you have permission from a parent or legal guardian.

3. AI Features and Important Limitations

Noodal includes AI features powered by large language models. These features can help with creative tasks, but they have important limitations you must understand:

Noodal's AI is not a substitute for professional advice. The AI is designed to assist with creative work tasks. It is NOT a substitute for:

  • Medical advice or diagnosis (consult a doctor)
  • Mental health treatment or crisis intervention (call 988 in the US, or your local crisis hotline)
  • Legal advice (consult a lawyer)
  • Financial advice (consult a financial advisor)
  • Relationship or life counseling (consult a qualified therapist)

If you're experiencing a mental health crisis, please call or text 988 (Suicide & Crisis Lifeline) in the US, or contact emergency services. Noodal is not designed to provide crisis support.

AI output may be inaccurate. AI-generated content may contain errors, fabricated information, or misleading statements. You should verify important information independently before relying on it. We are not responsible for decisions you make based on AI-generated content.

You own what you create. Content you create in Noodal, including content you produce with AI assistance, belongs to you. We don't claim ownership of your work.

We don't use your content to train AI models. Your projects, documents, conversations, and uploads are not used to train AI models. We use Anthropic's Claude API for AI features, and Anthropic does not train on API content per their commercial terms.

4. Acceptable Use

You agree not to use Noodal to:

  • Violate any law or regulation
  • Infringe on others' intellectual property
  • Harass, threaten, or harm others
  • Generate or distribute illegal content (including child sexual abuse material, non-consensual intimate imagery, or content inciting violence)
  • Generate malware, phishing content, or content designed to deceive
  • Attempt to extract, reverse-engineer, or copy Noodal's code or AI models
  • Use Noodal to spam, scrape data, or run unauthorized automated tasks
  • Impersonate another person or entity
  • Share credentials with multiple people on a single-user account
  • Resell Noodal access without our written permission

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on severity.

5. Subscriptions and Payments

Some features of Noodal require a paid subscription. You agree to:

  • Pay all fees associated with your subscription
  • Provide accurate billing information
  • Be responsible for taxes that apply to your purchase

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel anytime through your account settings. Refunds are at our discretion.

If you have a "Founding Member" subscription locked at a promotional rate, that rate is honored as long as your subscription remains active and in good standing. If your account lapses or is cancelled, the promotional rate may not be reinstated.

We may change pricing for new subscriptions or upon renewal. We'll notify you at least 30 days before any pricing change affects you.

6. Your Content and Data

You retain ownership of all content you upload, create, or store in Noodal ("Your Content").

You grant Noodal a limited license to host, display, and process Your Content for the purpose of providing the service to you. This license ends when you delete the content or your account, except where retention is required by law or for legitimate operational purposes (like backups).

You're responsible for the content you upload. Don't upload content you don't have rights to. Don't upload content that violates our Acceptable Use policy.

7. Collaboration and Sharing

Noodal lets you invite collaborators and share projects. When you do:

  • You're responsible for who you invite
  • Collaborators can see and modify content based on the role you assign them
  • Public share links can be accessed by anyone with the URL until you disable them
  • We're not responsible for actions taken by your collaborators within your projects

If a collaborator violates these Terms, both their account and your shared content may be subject to action.

8. Service Availability and Changes

We work hard to keep Noodal running smoothly, but we don't guarantee:

  • Uninterrupted service (downtime happens)
  • Specific features remain available indefinitely (we evolve the product)
  • Your data is preserved if you let your account lapse for an extended period

We may add, modify, or remove features. We'll provide reasonable notice of significant changes. If a change materially reduces your subscription value, you can cancel for a prorated refund.

9. Account Termination

You can delete your account anytime from your settings. When you do, your projects and personal data are scheduled for deletion within 30 days. Some data may be retained longer for legal, security, or operational reasons (e.g., audit logs, billing records).

We may suspend or terminate your account if you violate these Terms, abuse the service, or engage in conduct harmful to other users or to Noodal. We aim to give notice when reasonable, but not always required (e.g., severe abuse, fraud, illegal activity).

10. Disclaimers

NOODAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.

WE DON'T WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, INTEGRATE WITH OTHER SOFTWARE YOU USE, OR PRESERVE DATA UNDER ALL CIRCUMSTANCES.

YOU USE NOODAL AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOODAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY OF THE CLAIM (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE).

12. Indemnification

You agree to indemnify and hold Noodal harmless from claims arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of others' rights (including intellectual property)
  • Content you upload or generate

13. Changes to These Terms

We may update these Terms occasionally. When we do, we'll update the "Last updated" date at the top. For material changes, we'll notify you via email or in-app notification at least 14 days before the change takes effect.

Continuing to use Noodal after changes take effect means you accept the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles.

Disputes will be resolved through binding arbitration on an individual basis, not as a class action. Either party may seek injunctive relief in court for intellectual property or confidentiality violations.
